DropPush, Inc. Buyer Agreement

Welcome to DropPush, Inc. ("DropPush," "we," "us," or "our"). This Buyer Agreement ("Agreement") applies to you as a buyer purchasing items on our platform at droppush.app. By using DropPush to buy goods, you agree to this Agreement, alongside our general Terms of Use, Privacy Policy, and Shipping & Sales Policy.
1. Your Role as a Buyer
As a buyer, you use DropPush to browse, bid on, and purchase goods listed by sellers through fixed-price drops, auctions, and always-open seller storefronts. You may be invited to join DropPush by a seller. Your first seller subscription is free; access to additional sellers may require a paid subscription (see Section 7).
2. Purchasing Items โ Drops (Fixed Price)
- Browsing: You can view listings, including item descriptions, photos, and prices set by sellers.
- Offers: You may submit offers if the seller allows negotiation. All offers are subject to seller approval.
- Payment: Once a purchase is confirmed, you agree to pay the listed price plus any applicable shipping fees and sales tax via our third-party payment processor (Stripe). Sales tax is calculated and displayed as a separate line item at checkout based on your shipping address before you confirm payment. Payments are final unless otherwise stated.
- Shipping: Sellers handle shipping via our integrated shipping partner (EasyPost/USPS). Delivery times and costs are displayed at checkout.
3. Auction Bidding Terms
- Binding Bids: All bids placed on DropPush auctions are binding commitments to purchase the item at the bid price if you are the winning bidder. You may not retract a bid once placed except in limited circumstances (e.g., seller materially changes the item description after your bid was placed or DropPush discovers an error).
- Auction Formats: Sellers may list auctions with durations of 1 day, 3 days, or 7 days. The auction closes automatically at the stated end time.
- Winning Bidder Obligations: If you are the highest bidder at auction close, you are obligated to complete the purchase within 48 hours, including payment of the winning bid amount plus applicable shipping costs and sales tax. Failure to complete payment may result in account suspension, termination, and forfeiture of the item to the next highest bidder.
- Reserve Prices: Some auctions may have a reserve price. If bidding does not meet the reserve, the seller is not obligated to sell the item, and the auction is closed without a sale.
- Bid Increments: Bids must meet or exceed the minimum bid increment set by the platform or seller. DropPush will notify you if your bid is below the required increment.
- No Shill Bidding or Manipulation: You may not bid on your own items, use multiple accounts to bid, or collude with others to artificially inflate prices. Violations will result in immediate account termination and forfeiture of any held funds.
4. Storefront Purchasing Terms
- Always-Open Purchases: Sellers may maintain an always-open storefront of fixed-price items. You may purchase storefront items at any time. All storefront purchases are binding when placed and, once shipped, are final.
- Availability: Storefront items are limited-quantity and available on a first-come, first-served basis. DropPush does not guarantee that any item will remain available.
- Listing Content: Storefronts are operated by independent sellers. DropPush does not control, endorse, or guarantee the accuracy of any claims or representations made by sellers in their storefront listings.
- Public Pages: Storefront pages are publicly accessible and may be indexed by search engines. Item photos and descriptions on a published storefront are visible to anyone, including non-registered visitors.
4A. Bulk Drop Purchases
Some sellers list "bulk drops" โ mixed lots or bundles where the weight and dimensions (and therefore the exact shipping cost) cannot be known until the seller packs the lot. Because of this, bulk drops use a two-step Shipping Payment Request ("SPR") flow:
- Step 1 โ Place the Order: At checkout, you are asked to save a payment method on file via Stripe (using a SetupIntent). No charge is made at this point. You are committing to purchase the lot at the listed price, pending shipping.
- Step 2 โ Receive the Shipping Payment Request: The seller has up to 48 hours to pack the lot, weigh it, and send you a Shipping Payment Request containing the actual shipping cost. If the seller does not send an SPR within 48 hours, the order is automatically cancelled, your payment method is released, and no charge is made.
- Step 3 โ Accept & Pay or Decline: Once you receive the SPR, you have 72 hours to either Accept & Pay (which authorizes DropPush to charge your saved payment method for the item price + shipping + applicable tax) or Decline. Declining the SPR cancels the order at no cost to you.
- Expiry: If you do not act within 72 hours of receiving the SPR, the SPR is treated as declined, the order is cancelled, and no charge is made.
- Inventory Restoration: If you decline the SPR or the 72-hour window expires, the lot is automatically returned to the drop so another buyer can purchase it.
- Final Authorization: When you click "Accept & Pay," you authorize a one-time charge to the payment method you saved at checkout. You will not be able to retract this authorization once the payment is captured, and all sales become final upon shipment per Section 6.
- Acknowledgment: Before Accept & Pay completes, you will be asked to acknowledge that all sales are final once shipped.
5. Your Responsibilities
- Provide accurate shipping and payment information.
- Pay for purchases promptly after committing to buy, including winning auction bids.
- Communicate respectfully with sellers via DropPush messaging.
- Review item descriptions and photos carefully โ items are sold "as is" unless the seller specifies otherwise.
- Comply with all applicable laws in connection with your purchases.
6. Returns and Disputes
- All Sales Are Final: All purchases made on DropPush are final once shipped. DropPush does not process returns, issue post-shipment refunds, or mediate disputes between buyers and sellers.
- Peer-to-Peer Marketplace: DropPush is not a party to the transaction between Buyer and Seller and has no obligation to mediate disputes, process returns, or provide customer service on behalf of Sellers. In cases of suspected deliberate fraud, DropPush reserves the right โ but is not required โ to investigate, suspend accounts, or take other action at its sole discretion.
- Buyer-Seller Communication: If you have a concern about an item you purchased, contact the seller directly through DropPush messaging. Sellers are responsible for managing their own customer relationships. If a seller chooses to accept a return or offer a resolution, they will coordinate that process with you directly, outside of DropPush's shipping and payment systems.
- Cancelled Orders: If an order is cancelled by the seller before shipment, a full refund of the item price, shipping, and sales tax will be issued to your original payment method.
- Buyer Responsibility: You are encouraged to carefully review item descriptions, photos, and any seller-provided details before making a purchase. By completing a purchase, you acknowledge that you have reviewed the listing and accept the item as described.
- Payment Held Until Shipment: When you complete a purchase, your payment is charged immediately but held on the DropPush platform. Funds are only released to the seller once the order has been confirmed as shipped by the carrier. This protects your purchase during the fulfillment window.
- Shipping Issues: Once an item is in the possession of the shipping carrier, any issues (lost, damaged, or delayed packages) are resolved between you, the seller, and the carrier. DropPush is not liable for items in transit or after delivery.
- Platform Role: DropPush provides the software tools for buyers and sellers to transact and communicate. DropPush is not a party to the sale and does not guarantee the quality, accuracy, or condition of items sold by independent sellers.
7. Subscriptions and Fees
- Free Access: When you are invited to DropPush by a seller, you receive free access to that seller's store and listings.
- Additional Seller Subscriptions: To follow and purchase from additional sellers beyond your inviting seller, you may be required to subscribe to a paid plan at $5 to $10 per month, depending on the plan selected.
- Auto-Renewal: Paid subscriptions automatically renew at the end of each billing cycle (monthly) at the then-current rate unless you cancel before the renewal date. You will be charged using the payment method on file.
- Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. No partial refunds are provided for unused portions of a billing cycle.
- Price Changes: We may change subscription prices with at least 30 days' prior notice. Continued use after a price change constitutes acceptance of the new price.
- Affirmative Consent and Auto-Renewal Compliance: By subscribing, you affirmatively consent to automatic renewal on a monthly basis. You will receive confirmation and renewal reminder emails showing the renewal date, price, and payment method. In accordance with the FTC Negative Option Rule (16 CFR ยง 429), California Business and Professions Code Section 17600 et seq., and Texas Business and Commerce Code Chapter 601, we provide the following: (a) your subscription will automatically renew at the then-current monthly price; (b) you affirmatively authorize recurring charges to your payment method on file; (c) you may cancel at any time by visiting your account settings or emailing hello@droppush.app; (d) cancellation is effective immediately upon confirmation, and you retain access through the end of your paid period; (e) we provide a cancellation confirmation email.
- Buyer Service Fee: DropPush does not currently charge a buyer service fee on transactions. This policy is subject to change with at least 30 days' prior written notice via email and in-app messaging. If a buyer service fee is introduced in the future, continued use of DropPush after the effective date constitutes acceptance of the fee.
- Shipping Costs and Sales Tax: Shipping costs and applicable sales tax are added to your order total at checkout and are your responsibility as the buyer. Sales tax is collected by DropPush as a Marketplace Facilitator (see Section 8 below).
8. Sales Tax
- Marketplace Facilitator: DropPush, Inc. is a Texas-based Marketplace Facilitator, registered with or in the process of registering with the Texas Comptroller of Public Accounts. DropPush collects and remits Texas sales tax on all taxable transactions โ you do not need to separately remit tax on purchases made through the platform. Tax collection is activated only upon confirmed registration.
- Destination-Based Rate: Sales tax is calculated based on your shipping address (destination-based). The combined Texas state and local rate is up to 8.25% (6.25% state + up to 2% local). The exact rate for your order depends on your specific delivery location.
- Shown at Checkout: Your applicable sales tax amount is calculated automatically and shown as a separate line item during checkout โ after you enter your shipping address and before you confirm payment. You will never be surprised by tax after the fact.
- Tax on Auctions and Storefronts: Sales tax applies equally to fixed-price drop purchases, auction wins, and storefront purchases. Tax is calculated on the combined total of item price plus shipping, and displayed as a single tax line at checkout.
- Tax on Cancelled Orders: If your order is cancelled by the seller before shipment and you receive a full refund, DropPush will also refund the corresponding sales tax amount. The refunded tax is credited back to your original payment method alongside the item and shipping refund.
- Tax Exemptions: If you hold a valid Texas sales tax exemption certificate (e.g., as a business or reseller), contact hello@droppush.app before completing a purchase. You must provide your exemption number and supporting documentation. DropPush will review your request and, if approved, apply the exemption on a per-transaction basis going forward. Exemption claims cannot be applied retroactively after payment. Non-approved requests will be subject to standard sales tax.
9. Prohibited Actions
You agree not to:
- Use DropPush to scam sellers or avoid payment.
- Harass sellers or other buyers, or leave unfair feedback unrelated to the transaction.
- Attempt off-platform transactions to bypass our fees.
- Place bids you do not intend to honor.
- Use bots, scripts, or automated tools to place bids or make purchases.
- Create multiple accounts to circumvent subscription requirements or auction rules.
10. Limitation of Liability
DropPush, Inc. is not responsible for:
- The quality, safety, or legality of items sold.
- Seller delays or failures in shipping.
- Losses from disputes unless we explicitly agree to intervene.
- The accuracy of any claims or representations made by sellers in their listings, storefronts, or auction descriptions.
11. California Consumer Privacy Act (CCPA) Rights
If you are a California resident, you have the following rights under the California Consumer Privacy Act (CCPA):
- Right to Know: You have the right to request that we disclose the categories and specific pieces of personal information we have collected about you, the categories of sources from which the information was collected, the business purposes for collecting the information, and the categories of third parties with whom we share the information.
- Right to Delete: You have the right to request that we delete personal information we have collected from you, subject to certain exceptions (e.g., if we need the data to complete a transaction or comply with a legal obligation).
- Right to Opt-Out of Sale: You have the right to opt out of the "sale" of your personal information. DropPush does not sell personal information in the traditional sense, but to the extent any data sharing constitutes a "sale" under the CCPA, you may opt out by emailing hello@droppush.app with the subject line "Do Not Sell My Personal Information."
- Right to Non-Discrimination: We will not discriminate against you for exercising any of your CCPA rights. You will not receive different pricing, quality of service, or access as a result of exercising your rights.

12. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to conflict of laws principles. Any disputes arising under this Agreement shall be resolved in accordance with the dispute resolution provisions in our Terms of Use.
